Terms of Service

1. Acceptance of Terms

By accessing or using SwiftBids, you confirm that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. Your continued use of the Service constitutes ongoing acceptance of these Terms and any updates we may make.

1.1 United States Only

The Service is offered solely to users located in the United States. It is not directed to, and is not intended for use by, individuals or businesses outside the United States, and we make no representation that the Service or any of its content is appropriate or available for use in other locations. If you choose to access the Service from outside the United States, you do so on your own initiative and are solely responsible for compliance with any applicable local laws.

2. Description of Service

SwiftBids is a listing alert service for licensed vehicle dealers. It reads marketplace listings on your behalf and notifies you when one matches criteria you have set. SwiftBids does not bid, buy, sell, broker, or otherwise transact in vehicles, and does not place, modify, or cancel any order on your behalf. The Service allows you to:

• Run campaigns on your own marketplace account together with a proxy that you supply, or evaluate the Service in demo mode
• Create search campaigns with specific vehicle criteria (make, model, year, price, mileage, condition, MMR thresholds, and more)
• Receive notifications via Email, Discord, Slack, or Telegram when matching vehicle listings are found
• Manage your campaigns from a single dashboard

SwiftBids is a monitoring and notification tool. We do not buy, sell, broker, or facilitate the purchase of vehicles. All transactions occur directly between you and the respective marketplace or seller.

2.1 Account Options, Demo Mode, and Proxies

The Service is intended to be used with your own marketplace account. In that mode you supply your marketplace credentials and a proxy, and SwiftBids acts as your agent, reading listings your account is already entitled to see. Demo mode is provided so you can evaluate the Service before connecting an account of your own. It is limited to one active campaign at a reduced check frequency, is intended for evaluation rather than day-to-day buying, and may be withdrawn, restricted, or discontinued at any time. We give no guarantee of availability, throughput, or check frequency in demo mode.

Alternatively, you may connect your own marketplace account, in which case the Service currently requires you to also provide your own proxy server, through which SwiftBids connects on your behalf. Obtaining and paying for that proxy is your responsibility, and any cost is separate from your SwiftBids subscription. We are not responsible for the availability, performance, or conduct of any proxy you supply, and campaigns may fail to run if your proxy is unavailable or blocked. We may begin providing proxies as part of the Service in future, but we make no commitment as to if or when that will happen.

2.2 Alpha Status

The Service is currently in an alpha state. OVE is the only supported marketplace at this time. Other marketplaces referenced in our marketing or roadmap materials are planned but not yet available, and we make no commitment as to if or when they will be released. During alpha you should expect defects, interruptions, and changes to features, and you should not rely on the Service as your sole means of monitoring vehicle listings. We may add, change, or remove functionality without prior notice while the Service remains in alpha.

3. Account Registration and Security

To use the Service, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful, accurate, and up-to-date registration information
• Maintain the confidentiality of your account credentials
• Immediately notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.

4. Marketplace Accounts

When you connect third-party marketplace accounts to SwiftBids:

• You provide your own marketplace credentials voluntarily
• You authorize SwiftBids to act as your agent to access listing data on your behalf
• You represent that you have the right to grant this access and that doing so does not violate the marketplace's terms of service
• Your marketplace credentials are encrypted and stored securely, and used solely for the purpose of retrieving listing data
• You can disconnect any marketplace account at any time, which immediately removes the stored credentials

We are not responsible for any actions taken by third-party marketplaces regarding your account, including suspension or termination of your marketplace access.

5. Subscription and Billing

SwiftBids is sold on a slot-based subscription. Access to the Service requires a paid subscription; there is no free tier.

5.1 Slots

A "slot" entitles you to run one active campaign. Slots are charged at $49.99 per slot per month, exclusive of tax (see 5.2). You may hold as many slots as you wish, and you may add or remove slots at any time from your account settings. Removing a slot takes effect at the end of the current billing period. All features of the Service are included with every slot; we do not gate functionality behind separate tiers.

5.2 Billing

• Subscriptions are billed on a recurring monthly basis per slot held
• All payment processing is handled by our third-party payment processor — Polar or Paddle — acting as merchant of record. The processor handling your subscription is identified at checkout and on your receipts
• All prices stated are exclusive of sales tax, VAT, GST and any other applicable taxes or duties. Where such tax is due, the merchant of record determines it based on your location, adds it to your total, and displays it to you before you confirm payment
• By subscribing, you authorize recurring charges to your payment method
• Prices are subject to change with reasonable notice; existing subscribers will be notified before any price change takes effect
• You can cancel your subscription at any time from your account settings

5.3 Billing Disputes

If you believe you have been incorrectly charged, please contact us at support@swiftbids.app within 30 days of the charge. See our Refund & Cancellation Policy for full details.

6. Acceptable Use

You agree to use SwiftBids only for its intended purpose and in compliance with all applicable laws. You must not:

• Use the Service to scrape, harvest, or systematically collect marketplace data beyond what is necessary for your personal or business prospecting needs
• Resell, redistribute, or commercially exploit data obtained through the Service
• Attempt to use the Service for trading, bidding, or purchasing of vehicles. The Service is read-only and provides no such capability
• Attempt to access marketplace data without proper authorization or credentials
• Interfere with, disrupt, or overload the Service or its infrastructure
• Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service
• Use the Service to engage in any activity that violates any applicable law or regulation
• Create multiple accounts to circumvent slot limits or billing
• Share your account credentials with third parties

7. Intellectual Property

The Service, including its design, features, code, documentation, logos, and trademarks, is owned by SwiftBids and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you use our trademarks or branding without written permission.

8. Limitation of Liability

To the maximum extent permitted by law:

• We do not guarantee the accuracy, completeness, or timeliness of vehicle listing data retrieved from third-party marketplaces
• We are not responsible for the availability or uptime of third-party marketplace platforms
• We are not liable for any financial losses, missed opportunities, or damages resulting from your reliance on the Service or its notifications
• Our total liability for any claim arising out of these Terms or the use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any defects will be corrected. We do not endorse, guarantee, or assume responsibility for any third-party marketplace, its listings, or the accuracy of any data obtained through the Service.

10. Termination

Either party may terminate this agreement:

• By you: You may cancel your subscription and delete your account at any time through your account settings. Cancellation takes effect at the end of your current billing period.
• By us: We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law.

Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including Limitation of Liability, Disclaimer of Warranties, and Governing Law) will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SwiftBids operates, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved in the courts of that jurisdiction. You agree to submit to the personal jurisdiction of such courts.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you through the Service or via email. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you should discontinue use of the Service.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
